Reserves Policy

Reserves Policy

As a registered charity, [Charity name] is committed to responsible financial management to ensure its long-term sustainability, stability, and ability to continue delivering its charitable objectives.
This Reserves Policy sets out the principles, framework, and governance arrangements under which the Charity establishes, maintains, reviews, and utilises its financial reserves, in line with good practice and Charity Commission guidance.

The Trustees recognise that holding appropriate reserves is essential to safeguard the Charity against financial uncertainty, manage risk, and provide confidence to beneficiaries, funders, donors, and other stakeholders.

Purpose of the Reserves Policy

1.1 The purpose of this Policy is to ensure that [Charity name]:

  • Maintains an appropriate level of financial reserves.
  • Uses reserves transparently and responsibly.
  • Aligns reserve levels with the Charity’s risk profile and future plans.
  • Complies with Charity Commission guidance on reserves and public benefit.

1.2 This Policy provides a clear framework to support trustee decision-making in relation to:

  • Financial planning and budgeting.
  • Risk management and continuity planning.
  • Transparency in statutory reporting and public communications.

Scope of the Policy

2.1 This Policy applies to:

  • The Board of Trustees.
  • Senior management and finance personnel.
  • All unrestricted funds held by the Charity.

2.2 This Policy does not apply to:

  • Restricted funds, which must be used solely in accordance with donor restrictions.
  • Endowment funds, unless income is unrestricted and available for general use.

Definition of Reserves

3.1 For the purposes of this Policy, reserves are defined as:

The unrestricted funds of the Charity that are freely available to spend on any of the Charity’s purposes, once tangible fixed assets and other designated or committed funds have been excluded.

3.2 Reserves therefore exclude:

  • Restricted income funds.
  • Endowment funds.
  • Fixed assets held for operational use.
  • Funds designated by trustees for specific future projects or commitments.

Rationale for Holding Reserves

4.1 The Charity holds reserves to:

  • Protect against unexpected income shortfalls or funding delays.
  • Manage cash flow fluctuations.
  • Meet unforeseen expenditure or emergency situations.
  • Ensure continuity of core charitable activities.
  • Enable orderly wind-down, should that ever become necessary.

4.2 The Charity does not accumulate reserves for speculative purposes or to replace proper financial planning.

Level of Reserves

5.1 The Trustees have determined that the Charity should aim to hold reserves equivalent to [X] months of core operating expenditure.

5.2 In setting this level, the Trustees have considered:

  • The Charity’s income reliability and diversity.
  • Contractual and staffing commitments.
  • Fixed and variable operating costs.
  • Exposure to financial and operational risks.
  • The availability of alternative funding sources.

5.3 The target reserve level is reviewed regularly and may be adjusted where circumstances change.

Use of Reserves

6.1 Reserves may be used only where:

  • There is a clear and demonstrable need.
  • Alternative funding is not immediately available.
  • Use aligns with the Charity’s objects and best interests.

6.2 Examples of appropriate use include:

  • Covering temporary funding gaps.
  • Managing unexpected cost increases.
  • Funding essential restructuring or service continuity.
  • Responding to emergencies or external shocks.

6.3 Reserves must not be used to support ongoing structural deficits without a clear recovery plan.

Replenishment of Reserves

7.1 Where reserves are used, the Trustees will:

  • Agree a plan to replenish reserves within a reasonable timeframe.
  • Consider fundraising, cost control, or strategic adjustments.

7.2 Replenishment plans will be proportionate, realistic, and aligned with the Charity’s financial capacity.

Governance and Responsibility

8.1 Overall responsibility for the Reserves Policy rests with the Board of Trustees.

8.2 The Trustees will:

  • Approve the target reserve level.
  • Monitor reserves as part of regular financial reporting.
  • Ensure compliance with this Policy.
  • Document decisions relating to reserves in trustee minutes.

8.3 Senior management is responsible for:

  • Implementing the Policy.
  • Providing accurate and timely financial information.
  • Alerting Trustees to risks affecting reserve levels.

Monitoring and Review

9.1 Reserves will be monitored:

  • As part of regular management accounts.
  • At least quarterly by the Trustees.

9.2 This Policy will be formally reviewed:

  • At least annually, or
  • Earlier if there is a significant change in the Charity’s financial position, risk profile, or activities.

Transparency and Reporting

10.1 The Charity will:

  • Disclose its reserves position clearly in the Trustees’ Annual Report.
  • Explain the rationale for the level of reserves held.
  • Justify any material variances from the target reserve level.

10.2 This ensures transparency and accountability to donors, regulators, beneficiaries, and the wider public.

Relationship with Other Policies

11.1 This Policy should be read alongside:

  • Financial Controls Policy.
  • Risk Management Policy.
  • Investment Policy (where applicable).
  • Business Continuity or Sustainability Plans.

Conclusion

By adhering to this Reserves Policy, [Charity name] ensures prudent financial stewardship, strengthens its resilience against uncertainty, and safeguards its ability to deliver charitable services now and in the future, in line with trustee duties and regulatory expectations.
